1. About These Terms

These Terms of Service ("Terms") govern your access to and use of Rutt (rutt.io), an AI brand visibility monitoring platform ("the Service"). The Service is operated by LemonadeStack, based in the United Kingdom ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you and us.

2. Description of Service

Rutt provides AI brand visibility monitoring, website traffic analytics, AI-assisted content creation, social media management, competitor intelligence, and related services. The Service is delivered online on a subscription basis across various plan tiers as described on our pricing page.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of any material changes that affect your use of the Service.

3. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By registering, you confirm that you are of legal age and have the capacity to enter into a binding agreement.

When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account.

4. Free Trial

All subscription plans include a 7-day free trial. During the trial you have full access to the features of your selected plan. A valid payment method is required to start a trial.

If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your payment method will be charged at the applicable rate. You may cancel at any time during the trial without charge.

5. Subscriptions and Payment

The Service is offered on a recurring monthly subscription basis. Prices for each plan are displayed on our pricing page and are stated in US Dollars. All prices are exclusive of VAT or other applicable taxes unless otherwise stated.

Payments are processed securely by Stripe. By providing your payment details, you authorise us (via Stripe) to charge your chosen payment method on a recurring basis in accordance with your selected plan.

Subscriptions renew automatically at the end of each billing cycle. You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Changes take effect from the next billing cycle unless otherwise stated.

6. Cancellation and Refunds

You may cancel your subscription at any time via your account settings or by contacting us. Upon cancellation:

  • Your access to the Service continues until the end of the current billing period.
  • No further charges will be made after the current period ends.
  • We do not provide pro-rata refunds for unused portions of a billing period.

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a statutory right to cancel within 14 days of entering into your subscription (the "cooling-off period"). If you have used the Service during this period, we may deduct a proportionate amount for the service provided up to the point of cancellation. 7. Acceptable Use

You agree to use the Service lawfully and in accordance with these Terms. You must not:

  • Use the Service to violate any applicable law or regulation;
  • Monitor websites or domains you do not own or have authorisation to monitor;
  • Attempt to gain unauthorised access to any part of the Service or its underlying systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to transmit harmful, offensive, or unlawful content;
  • Resell, sublicense, or redistribute the Service without our prior written consent;
  • Use automated means to scrape, extract, or collect data from the Service beyond normal API usage.

We reserve the right to suspend or terminate your account if we reasonably believe you are in breach of these provisions.

8. Intellectual Property

All intellectual property rights in the Service, including its software, design, branding, and documentation, are owned by us or our licensors. Nothing in these Terms grants you any rights in or to the Service other than the limited right to use it in accordance with these Terms.

Content you create or upload using the Service (including articles, social posts, and monitoring configurations) remains your property. You grant us a limited licence to host, process, and display your content solely for the purpose of providing the Service to you.

9. Third-Party Services

The Service integrates with third-party providers including OpenAI, Anthropic, Google, Perplexity, and Stripe. Your use of these integrations may be subject to the respective third party's terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which forms part of these Terms. Our Privacy Policy explains how we collect, use, and protect your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11. Service Availability and Support

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control.

12. Limitation of Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law.

Subject to the above, to the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill;
  • Our total aggregate liability arising out of or in connection with the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim;
  • We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

If you are a consumer, you have legal rights under the Consumer Rights Act 2015 in relation to digital content and services that are faulty or not as described. Nothing in these Terms affects those statutory rights.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Service; or (c) content you create, upload, or distribute through the Service.

14. Termination

We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or use the Service in a manner that could damage, disable, or impair the Service.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted unless we are required by law to retain it.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 14 days in advance via email or through the Service. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service and cancel your subscription.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also be entitled to use the UK's alternative dispute resolution procedures. Nothing in these Terms affects your statutory rights as a consumer.

17. General

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
